Terms of Service

These Terms of Service ("Terms") govern your use of the websites, software, hosted services and professional services (together, the "Services") provided by Noetyra Technologies Inc, a Wyoming corporation ("Noetyra", "we", "us"). By using the Services or paying for them, you agree to these Terms. If you use the Services on behalf of an organization, you agree on its behalf.

1. The Services

We provide developer tools and AI software, including open-source software, hosted deployments, support and custom development. The scope, price and term of any paid Service are set out in the order, quote, invoice or statement of work you accept ("Order").

2. Open-source software

Our open-source software is licensed under the license that accompanies its source code (usually the MIT License). That license, not these Terms, governs your use of the source code. Open-source software is provided "as is", without warranty.

3. Accounts and acceptable use

You are responsible for your account credentials and for activity under your account. You must not use the Services to break the law, infringe others' rights, access devices or systems without the owner's consent, distribute malware, or interfere with the Services or other customers. Several of our products give remote access to devices or terminals; you must only use them with the informed consent of the person who controls that device or terminal.

4. Fees and payment

Fees are stated in US dollars in your Order and are exclusive of taxes unless stated otherwise. Subscriptions renew automatically for the same term unless you cancel before the renewal date. Payments are processed by our third-party payment processors; we do not store full card numbers. If a payment fails, we may suspend paid Services after notifying you. Refunds are described in our Refund Policy.

5. Customer data

You keep all rights to the data you submit to the Services. You grant us a limited right to process it only to provide and support the Services, as described in our Privacy Policy.

6. Intellectual property

Except for open-source code and your data, the Services and our trademarks are owned by Noetyra. Deliverables from custom development are owned as set out in the relevant statement of work.

7. Warranty disclaimer

Except as expressly stated in an Order, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our total liability arising out of the Services is limited to the amounts you paid us for the Services in the twelve months before the claim.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming.

11. Changes

We may update these Terms. We will post the new version on this page and update the date above. Material changes to paid Services take effect at your next renewal.
